Welcome to Money Hive Ltd (“we”, “us”). Before you use our website (Site) and/or our Services, please read the Terms of Use below. They govern the use of our Site and forms a contract between you and us. By using our Site and / or our Services, you are taken to have understood these Terms and agreed to use our Site and / or Services in accordance with the terms.

We may update these terms from time to time, and the updated terms will apply to your use of our Services from the time they are posted to our website. Restricted activities

During the course of your engagement with us, other customers, or third parties, you must not:

• breach these user terms, or any other agreement between you and us, or any laws;
• misuse our or any third party's intellectual property rights, or privacy;
• attempt to modify, copy, adapt, or reproduce any part of Money Hive;
• attempt to decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code for Money Hive;
• attempt to undermine the security or integrity of Money Hive, or where any and all parts of Money Hive is hosted by a third party, that third party’s computing systems and networks;
• access or use Money Hive for any purpose beyond its intended use as provided by us, including but not limited to competitive evaluation, espionage, development of a substitute or analogous service to Money Hive, or any other unlawful purpose;
• act in a manner that is defamatory, threatening or harassing to our employees, agents, or other users;
• provide false, inaccurate or misleading information;
• refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us;
• control an account that is linked to another account that has engaged in any of these restricted activities;
• interfere or disrupt or attempt to interfere with or disrupt our website, software, systems (including any networks and servers used to provide any of the our services) operated by us or on our behalf, any of the Money Hive services or other users’ use of any of the Money Hive services.

Termination and suspension

We may suspend your account and your access to Money Hive if we consider it necessary to protect our, your, or any other person's or network's security, or the security of Money Hive, including if we believe there is a risk of unauthorized or fraudulent activity on your account.

Money Hive may also suspend your access immediately if:

• you breach any provision of these terms;
• anything outside Money Hive’s control occurs which has the effect of compromising our ability to provide you, or other customers with our services.

Limitation of liability

We do not accept any liability, direct or indirect, for any loss, harm or damage which may directly or indirectly result from your use of Money Hive.

Nothing in these terms is intended to limit or exclude any liability that cannot by law be limited or excluded. In particular, you may have rights under the Consumer Guarantees Act 1993 (or other applicable law) that cannot be excluded. To the extent permitted by law, our liability for breach of any non-excludable guarantees or conditions is limited to the statutory remedy we are required to provide for breach of the relevant guarantee or condition.

Money Hive will not be liable to refund you for any losses direct or indirect or caused by circumstances beyond our control, for example, due to extreme weather, pandemic, terrorist activity, telecommunications network failure, failure of Third Party Apps or other applications, Account Providers, or industrial action.

To the maximum extent permitted by applicable law, in no event shall we be liable to you for any indirect, extraordinary, exemplary, punitive, special, incidental, or consequential damages (including loss of data, revenue, profits, use, or other economic advantage) however arising, even if we are aware of the possibility of such damage.

Warranty and indemnity

We do not guarantee continuous, uninterrupted and error-free access to any part of the Money Hive services as the operation of our website, software, or systems (including any networks and servers used to provide any of the Money Hive services) is subject to numerous factors outside of our control.

Money Hive is provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, we disclaim all warranties and conditions, express or implied, in respect of Money Hive and your use of Money Hive, including, without limitation, implied warranties and conditions of merchantability and fitness for a particular purpose.

Financial advice

Money Hive expressly disclaims any provision of financial advice or recommendations. Any information made available by us does not consider your particular investment objectives, financial circumstances, or investment requirements. None of the information provided by us constitutes investment, financial, or tax advice. Should you be uncertain about the suitability of any particular offer, it is advisable to seek guidance from a qualified financial adviser.

Anti-money laundering

You agree to provide any information we require in order to manage our anti-money laundering and countering financing of terrorism obligations. You agree that we may refuse to establish a relationship with you, or may be required to stop or suspend providing services to you, if you fail to provide this information to us in the timeframe we specify.

Communications

By using our services, you acknowledge and agree that Money Hive, including our affiliates, may send you marketing and promotional communications and notifications in relation to our services. You can opt out at any time by notifying us at [email protected] or by clicking the unsubscribe function included in our marketing communications.

General terms

• No waiver of any breach of these user terms by us shall be deemed to be a waiver of any other, or any subsequent, breach. No failure or delay by any party in exercising any rights, power or privilege under these user terms shall operate as a waiver, nor shall any single or partial exercise preclude any other or further exercise of any right, power or privilege under these user terms.
• If for any reason you owe us money, you must pay it to us on demand, together with any costs we might incur in recovering such amounts due from you. We may suspend your Money Hive account until such time as monies owed are fully paid.
• These user terms constitute the entire agreement between you and us as it relates to your use of the Money Hive services.
• Should any part or provision of these user terms be held unenforceable or in conflict with the applicable laws or regulations of any jurisdiction, the invalid or unenforceable part or provision shall be replaced with a provision which accomplishes, to the extent possible, the original business purpose of such part or provision in a valid and enforceable manner, and the remainder of the agreement will remain binding upon the parties.
• These user terms are governed by New Zealand law.
